NDA template for Hong Kong CSOs
Civil society organizations (“CSOs”), including non-governmental organizations, non-profit organizations, and social enterprises, routinely share confidential information with a variety of third parties, such as partners, suppliers, contractors and volunteers. Such information may include trade secrets, business strategies, intellectual property, and other confidential or personal data. In some cases, it may be appropriate or even necessary to impose certain legal obligations on the recipients regarding the use and disclosure of such confidential information that is viewed as particularly important or sensitive. These legal obligations may be documented in either a confidentiality clause as part of an existing contract between the parties, or in a stand-alone non-disclosure agreement (an “NDA”). To this end, PILnet has partnered with Simpson Thacher & Bartlett in preparing this document, which is intended to serve as a stand- alone NDA template for CSOs which wish to use legal tools to better protect their confidential information. It needs to be tailored to your specific scenario to be of most value to you, whether collaborating with other organizations versus engaging individual volunteers for example.
